Florida

Florida Division of Corporations (Sunbiz) registers LLCs and corporations online; both file an annual report between 1 January and 1 May.

  • The total the state shows for a new LLC is $125 ($100 filing plus $25 registered agent designation); the listed $160 total includes optional copies.
  • An LLC taxed as a corporation owes Florida corporate income tax; the tag no-state-income-tax is not given because the 5.5% corporate tax exists.
  • An annual report filed after 1 May carries a $400 higher published fee, and a missed report can lead to administrative dissolution.

Wyoming

Wyoming Secretary of State Business Division registers LLCs and corporations; both pay a $100 filing fee and an annual license tax of $60 or more.

  • The annual license tax is never zero: $60 minimum, higher if Wyoming assets pass $300,000.
  • Missing the annual report makes the entity delinquent; it is administratively dissolved if not filed within 60 days of the due date.
  • Corporations list officers and directors in the annual report; the annual report may ask for officer or director details.
