Certificate of Formation - Limited Liability Company (Form 205). Not included: Registered agent with a Texas street address (required; an LLC cannot be its own agent; price set by the agent). Credit card payments add a convenience fee (the Secretary of State pages give 2.7% of fees in one place and $0.25 plus 2.25% in another). Optional in-person expedite: next-day $500 or same-day $750 per document on top of the filing fee. Franchise tax and the annual information report are not due at formation.

  • Employer Identification Number (EIN). The IRS says an EIN costs nothing and that a person never has to pay a fee for one. The IRS online EIN tool is open only to applicants whose principal place of business is in the U.S. or U.S. territories and whose responsible party has an SSN or ITIN. Third-party services charge their own fees for filing an application. Fee: 0 USD irs.gov/businesses/small-businesses-self…
  • EIN for an applicant with no SSN or ITIN. The IRS Form SS-4 instructions (Rev. December 2025) say an applicant with no legal residence, principal place of business, or principal office or agency in the U.S. or its territories cannot use the online application. Such an applicant can apply by telephone (267-941-1099, not toll-free, 6:00 a.m. to 11:00 p.m. Eastern, Monday to Friday), by fax (304-707-9471 when outside the U.S.; the IRS says an EIN generally comes back by fax in about 4 business days), or by mail to the IRS EIN International Operation (about 4 weeks). On line 7b the instructions say to enter "foreign" or "N/A" if the responsible party does not have and is ineligible to obtain an SSN or ITIN; an entry is required.   • Form 5472 with pro forma Form 1120 (foreign-owned single-member LLC). The IRS instructions (Rev. December 2024) define a foreign-owned U.S. disregarded entity as a domestic disregarded entity wholly owned by a foreign person, and treat it as a corporation for the limited purposes of section 6038A. Such an entity must file a pro forma Form 1120 with Form 5472 attached by the due date, including extensions, of that Form 1120; the instructions give no calendar date, and the Form 1120 instructions say the general due date is the 15th day of the 4th month after the end of the tax year. The instructions set a penalty of $25,000 for failing to file Form 5472 when due and in the manner prescribed, plus a further $25,000 for each 30-day period (or part of one) that the failure continues after 90 days from IRS notification.   • Beneficial ownership information (BOI) reporting to FinCEN. On 2026-10-02 the FinCEN BOI page (fincen.gov/boi) carries the alert "FinCEN Permanently Ends Beneficial Ownership Reporting Requirements for Millions of Small Business Owners". FinCEN's final rule (91 FR 52508, published 2026-08-14, effective 2026-08-14; Treasury announced it on 2026-08-11) removes U.S. entities from the definition of reporting company, so companies formed in the U.S. do not report, whoever owns them. Entities formed under foreign law and registered to do business in a U.S. state or tribal jurisdiction remain reporting companies. They report beneficial ownership information for foreign individuals only, and not for U.S. persons or U.S. person company applicants.   • Forming a company and U.S. immigration status. USCIS lists the entrepreneur routes into the U.S. as separate applications with their own conditions, for example parole under the International Entrepreneur Rule on Form I-941, which needs at least 10 percent ownership, a central and active role, and qualifying funding. USCIS also says a person in B-1 visitor status may not open and operate their own business in the U.S. Forming a company is not listed as a route to a visa or to the right to live or work in the U.S. I found no USCIS page that states this in one sentence. uscis.gov/working-in-the-united-states/ent…
  • Federal income tax for a foreign owner. The IRS says a nonresident alien's U.S. taxable income is divided into income effectively connected with a trade or business in the United States, taxed at graduated rates, and other U.S.-source income, taxed at a flat 30 percent or a lower treaty rate. irs.gov/individuals/international-taxpay…
