What the government charges and requires

These apply to every Singapore private limited company. Figures from ACRA, IRAS and MOM.

  • ACRA name reservation fee. Reserving the company name costs S$15 through Bizfile. The fee is not refunded if the name is unavailable or you withdraw.   • ACRA incorporation fee. Registering a new local company costs S$300. With the S$15 name fee the government cost is S$315. Most registrations are approved soon after payment; complex ones can take up to 15 working days, and those needing another agency 14 to 60 days.   • Foreigners must use a corporate service provider. ACRA says foreigners must engage a corporate service provider to reserve a name and register a company. This is why a non-resident founder cannot self-file. acra.gov.sg/register/business/requirements-e…
  • One ordinarily resident director. Every company needs at least one director who is ordinarily resident in Singapore: a citizen, permanent resident, or holder of an Employment Pass, Personalised Employment Pass or Overseas Networks and Expertise Pass. ACRA lists failure to have one as an offence under section 145(1) of the Companies Act.   • Nominee directors and their duties. ACRA allows nominee directors but says all directors carry duties under the Companies Act, active or not. A nominee must tell the company they are a nominee and give the nominator's details on incorporation.   • Company secretary within 6 months. A company secretary must be appointed within six months of registration and the post cannot stay empty for more than six months, or the director may be fined up to S$1,000.   • Registered office in Singapore. The company needs a Singapore registered office from incorporation. It must be open to the public for at least three hours on each business day and able to receive notices. It need not be where you trade.   • Minimum share capital. A company that needs share capital must have at least S$1 to start. The minimum number of issued shares is one. Fee: 1 SGD acra.gov.sg/register/business/registering-di…
  • Annual return filing fee. Filing the annual return costs S$60. Late filing costs S$300 up to three months late and S$600 after that. A 60-day extension costs S$200. Fee: 60 SGD acra.gov.sg/manage/companies/service-transac…
  • Corporate income tax rate. IRAS taxes company chargeable income at a flat 17%, for local and foreign companies. iras.gov.sg/taxes/corporate-income-tax/basic…
  • Start-up tax exemption. For a qualifying new company's first three years of assessment, 75% of the first S$100,000 and 50% of the next S$100,000 of chargeable income are exempt, a maximum exemption of S$125,000 a year. Not available to investment holding or property development companies. The company must be incorporated in Singapore, be a Singapore tax resident for that year, and have no more than 20 shareholders (with an individual holding at least 10% unless all are individuals).   • Tax residency needs control in Singapore. An IRAS training deck says a company is tax resident in Singapore when control and management of its business is exercised in Singapore.   • A company does not give a right to live in Singapore. ACRA says a foreigner who wants to move to Singapore to run a business needs a work pass. Owning or registering a company grants no residence or work rights.   • EntrePass fees and conditions. Application fee S$105 per pass, paid at submission; fees are not refunded. Issuance fee S$225 per pass, plus S$30 per Multiple Journey Visa if needed. Processing is within 6 weeks for most cases (the application form says about 8 weeks). The company must be venture-backed or hold innovative technology, be under six months old at application, and the founder must hold or plan to hold 30% of it within the first year of the pass.   • Employment Pass fees and salary floor. Application fee S$105; issuance fee S$225 per pass, plus S$30 per Multiple Journey Visa if needed.
