What the government charges and requires

These apply to every foreign-owned company. Where we could not read the rule on a government page, the item says so.

  • Bali: new PMA licences closed in 18 business codes (reported, not confirmed in an instrument). Bali's governor issued a press release on 22 July 2026, reported by Liputan6 (citing Antara), Balipost, Kompas, NusaBali and others. It says that after approval from the Minister of Investment/BKPM, the Bali government closed OSS access for new PMA business licences in 18 low-risk and medium-low-risk KBLI codes, province-wide, from the third week of May 2026 until further policy. Codes include hotels under 6,000 m2, real estate, management consulting, car and motorbike rental, clothing and textile retail, cafes, fitness centres and sports promoters. Existing licences are not cancelled and must keep filing LKPM. PMA companies using virtual offices get closer supervision, which is not a ban. The background is a governor's letter to BKPM of 28 January 2026 (No. B.27.000/642/PM/DPMPTSP) that asked for a wider closure, cited by Lexeron and Emerhub; we did not read that letter. The BKPM approval number and OSS instructions are not published. Emerhub's May 2026 note says the block covers every low and medium-low risk code, which is wider than the July list.   • Minimum paid-up capital for a PT PMA: IDR 2.5 billion. BKPM Regulation 5/2025 (Permen Investasi dan Hilirisasi/Kepala BKPM No. 5 of 2025, signed 1 October 2025, in force 2 October 2025) says a PMA in the form of a PT needs issued and paid-up capital of at least IDR 2,500,000,000 per company, unless another law says otherwise. The paragraph is (10) of the article that follows Article 25 in the copy read; law-firm notes number it Article 26. The old figure was IDR 10 billion.   • Investment plan above IDR 10 billion per business line. The same regulation keeps a separate minimum investment value for a PMA. Law-firm summaries of Article 26 put it at more than IDR 10 billion, excluding land and buildings, for each 5-digit KBLI code at each project location. Permitindo's page lists exceptions: wholesale trade per 4-digit code, food and beverage per 2-digit code, construction per 4-digit code. The paragraph that sets this figure (paragraph 2) was not in the official extract read, so this item cites the secondary source. This is a plan filed with the investment system.   • Foreign ownership limits: Positive Investment List. Presidential Regulation 10/2021, changed by Presidential Regulation 49/2021, says all business fields are open to investment except fields closed to investment and fields reserved for central government. Some open fields carry conditions, including a cap on foreign share, listed in Annex III by KBLI code. Check your KBLI code against the annexes before you fix the cap table.   • AHU fee for name approval and company approval. The Ministry of Law (AHU) FAQ lists a single state-fee voucher for the name and the incorporation: IDR 300,000 if authorised capital is up to IDR 25 million, IDR 600,000 up to IDR 1 billion, IDR 1,100,000 above IDR 1 billion. A PT PMA will fall in the top band. The tariff regulation now in force is Government Regulation 45/2024 (18 October 2024), which replaced Government Regulation 28/2019; a copy of the 2024 fee table shows IDR 300,000 as the first band under company registration, but we could not tell whether that line is the PT approval, so the FAQ figures are the ones used. The same FAQ also lists IDR 200,000 for a separate name reservation, but the AHU online guide says free name checking started on 17 August 2021 and a separate reservation no longer exists.   • NIB through OSS costs nothing; the licence needed depends on risk. BKPM's service standard for issuing a NIB in the OSS system states no fee. Under Government Regulation 28/2025 the licence depends on the risk level of each KBLI code. Low risk: the NIB alone is the licence. Medium-low and medium-high: NIB plus a Standard Certificate, which for medium-low is issued after a self-declaration in OSS. High risk: NIB plus a licence (Izin) from the authority. Base requirements such as a spatial-plan confirmation must be met first. A law firm says the spatial confirmation can carry a state fee; we did not confirm an amount.   • At least two shareholders. The Company Law (Law 40/2007), Article 7(1), says a company is founded by two or more people by notarial deed in Indonesian. Foreign individuals and foreign companies can be shareholders, and the company then becomes a PMA (AHU FAQ). If a company falls below two shareholders, the holder has 6 months to fix it, or becomes personally liable and a court can dissolve the company (Article 7(5) and (6)).   • Directors and commissioners: what the law says and what agencies add. Law 40/2007 Article 93 says a director must be an individual with legal capacity, with 5-year exclusions for bankruptcy and some convictions. The text read has no rule that a director must live in Indonesia. A foreigner who lives and works in Indonesia as a director needs an immigration status, see the work-permit item. No regulation was found that makes a director's NPWP a legal condition. Agencies and virtual-office providers report that notaries and banks ask for it, and Legal Indonesia lists a director's NPWP in a package.   • Nominee shareholding agreements are void. Law 25/2007 on Investment, Article 33(1), bans domestic and foreign investors in a PT from making an agreement or declaration that shares are held for and on behalf of another person. Article 33(2) says such an agreement or declaration is null and void by law. The elucidation says the aim is to stop companies owned on paper by one person but in substance by another.   • Registered address and virtual offices. A PT must state a domicile in Indonesia in its deed. The OSS system then checks the business location against the spatial plan (KKPR) before it issues a NIB; the OSS guide describes how to enter the location. We found no national rule that allows or bans virtual offices. Provider blogs (vOffice, IZIN.co.id) say a virtual office is generally accepted for low and medium-low risk activities when the building is in an office or mixed zone, and not for activities needing a physical site. Jakarta rules are cited from a 2016 circular; other regions differ.   • Investor KITAS (E28A): who qualifies. The Directorate General of Immigration page for the E28A investor visa asks for proof of shares worth at least IDR 10 billion, or the equivalent, in a company registered with the Ministry of Investment/BKPM. It also asks for the Ministry of Law decree approving the company, company current-account statements for the last 2 months, and personal bank statements for 3 months showing at least USD 2,000. The permit is for 1 or 2 years and can be extended online by the sponsor.   • Investor KITAS (E28A): official state fees. Immigration lists IDR 9,500,000 for a stay of up to 2 years: visa IDR 500,000, visa verification category II IDR 2,000,000, limited stay permit IDR 5,000,000 and re-entry permit IDR 2,000,000. For a 1-year stay it lists IDR 7,000,000: visa IDR 500,000, verification IDR 2,000,000, stay permit IDR 3,000,000, re-entry IDR 1,500,000. Basis: Government Regulation 45/2024 and Ministry regulations on visas and stay permits. Provider service fees, sponsorship and translation are extra.   • LKPM investment activity reports. Under BKPM Regulation 5/2025 every business operator files an LKPM report in OSS, for each business line or location, except micro businesses (capital up to IDR 1 billion or sales up to IDR 2 billion) and projects paid from state or regional budgets. Small businesses file twice a year, due 15 July and 15 January. Medium and large businesses file quarterly, due 15 April, 15 July, 15 October and 15 January. The due date moved from the 10th to the 15th. A PT PMA with IDR 2.5 billion or more of capital is likely to be medium or large, but check the scale rules.   • Corporate income tax rate and the small-company reduction. The Tax Directorate (pajak.go.id) states the corporate rate is 22% since 2022. A company with gross turnover up to IDR 50 billion gets a 50% rate cut (effective 11%) on the taxable profit that comes from the first IDR 4.8 billion of turnover (Article 31E). Government Regulation 20/2026 (22 April 2026) ended the optional 0.5% final tax on turnover for limited companies: only individuals and one-person companies can use it without a time limit, and cooperatives for up to 4 years.   • VAT registration threshold and filing duties. A business must register as a VAT-taxable entrepreneur (PKP) once gross turnover in a financial year passes IDR 4.8 billion, within the end of the following month; a small business below that may register by choice (pajak.go.id). The DJP pages read show a VAT rate of 11%; Emerhub says the statutory rate is 12% on a base of 11/12, which we did not confirm on an official page. Companies file monthly returns for withholding taxes and VAT, and the DJP source on final tax sets payment by the 15th of the next month. The annual corporate return is due within 4 months of year-end (30 April for a calendar year), with a IDR 1,000,000 fine if late. Coretax is used for tax year 2025 onward. pajak.go.id/id/pengusaha
  • A company gives no automatic right to work or live in Indonesia. Forming a PT PMA does not give any foreign owner a visa or a work permit. The investor visa is a separate application by the company as sponsor on evisa.imigrasi.go.id, with the share threshold and fees shown above. Immigration also states that if your shares are below the threshold and you hold a director or commissioner post, you must apply for a work visa for that post instead.
