Texas
Texas Secretary of State registers LLCs and corporations for a $300 filing fee; both owe franchise tax only above a revenue threshold but file an annual information report.
- Texas has the highest formation fee in this set, $300 for both an LLC and a corporation.
- A franchise tax report or Public Information Report is due each 15 May; a late franchise tax report carries a $50 penalty and a failed filing can lead to forfeiture.
- The Secretary of State is moving filings from SOSDirect to the new SOSPortal; the card-fee wording differs between pages.
Wyoming
Wyoming Secretary of State Business Division registers LLCs and corporations; both pay a $100 filing fee and an annual license tax of $60 or more.
- The annual license tax is never zero: $60 minimum, higher if Wyoming assets pass $300,000.
- Missing the annual report makes the entity delinquent; it is administratively dissolved if not filed within 60 days of the due date.
- Corporations list officers and directors in the annual report; the annual report may ask for officer or director details.
