Delaware Division of Corporations registers LLCs and corporations; LLCs pay a flat annual tax and corporations file an annual report with franchise tax.

  • LLC annual tax rose from $300 to $400 from tax year 2026; some Division pages and many agency pages still show $300.
  • Fee schedule file is dated August 2026; House Bill 400 changed most Delaware fees from 1 August 2026.
  • The Division's 2018-dated FAQ and tax pages mix old and new figures; the $400 figure is from the LLC tax instructions page and the LLC formation form.

Florida

Florida Division of Corporations (Sunbiz) registers LLCs and corporations online; both file an annual report between 1 January and 1 May.

  • The total the state shows for a new LLC is $125 ($100 filing plus $25 registered agent designation); the listed $160 total includes optional copies.
  • An LLC taxed as a corporation owes Florida corporate income tax; the tag no-state-income-tax is not given because the 5.5% corporate tax exists.
  • An annual report filed after 1 May carries a $400 higher published fee, and a missed report can lead to administrative dissolution.
