Florida Division of Corporations (Sunbiz) registers LLCs and corporations online; both file an annual report between 1 January and 1 May.

The company
Registered agent. Yes. A registered agent with a physical street address in Florida is required; a business cannot be its own registered agent, but an individual in the business can serve.
Owner privacy. Member names are not required in the LLC articles (manager or authorized representative names are optional), but the annual report must list at least one principal with name and street address, and everything filed is public record.
State taxes and fees. Florida charges a 5.5% corporate income/franchise tax on corporations and LLCs taxed as corporations, with a $50,000 exemption; an LLC taxed as a partnership or disregarded entity generally does not pay it. Florida levies no income tax on natural persons.

Know before you choose
- The total the state shows for a new LLC is $125 ($100 filing plus $25 registered agent designation); the listed $160 total includes optional copies.
- An LLC taxed as a corporation owes Florida corporate income tax; the tag no-state-income-tax is not given because the 5.5% corporate tax exists.
- An annual report filed after 1 May carries a $400 higher published fee, and a missed report can lead to administrative dissolution.
- At least one principal with a name and street address must appear on the annual report, which is public.
