The company

Registered agent. No. A New York LLC or corporation designates the Secretary of State as its agent for service of process and gives a mailing address for it; a registered agent is optional.

Owner privacy. The LLC Articles of Organization ask for the name, county, the Secretary of State as agent with a process address, and the organizer's signature, not member or manager names.

State taxes and fees. Corporations pay franchise tax on the highest of business income (6.5%, or 7.25% above $5,000,000), capital, or a fixed dollar minimum of $25 to $200,000 by New York receipts. LLCs pay an annual filing fee of $25 to $4,500 by New York source gross income.

Know before you choose

  • New York LLCs must publish a notice once a week for six weeks in two county-designated newspapers within 120 days or their authority to do business is suspended; the newspaper charges are not on any state fee schedule and were not found.
  • The Department of State fee schedule is marked 'Rev. 3/16' on the page; $200 and $125 are also stated on the current Department of State filing pages.
  • The $25 LLC annual filing fee is the minimum; it depends on New York source gross income and applies to LLCs with no New York income too.
  • New York has a personal income tax and corporate franchise tax, so no-state-income-tax does not apply.
